About

Hubert André-Dumont, chairman of AKD’s Brussels office, has over 35 years of legal experience. He focuses his practice on commercial law, company law, real estate and construction law, with a particular focus on mining (including extensive experience in francophone Africa), corporate governance, real estate finance and mergers and acquisitions. He is fluent in French, English, Dutch, with a certain understanding of German and Spanish. He has written extensively on international business and mining law issues, particularly on Congolese mining and corporate law issues and on international construction matters, including on the FIDIC form of engineering and construction contract. He became a member of the Brussels Bar (French) in 1982 after receiving a Lic. Jur. law degree from the Université Catholique de Louvain. He also holds a master’s degree in commercial law from the University of Bristol, England (1985). Hubert completed in 2009 the Advanced Leadership Program at Northwestern University’s Kellogg School of Management in Chicago. Hubert is the co-chair of the Mining Law Committee of the International Bar Association. Also active in the charitable sector, Hubert André-Dumont is an officer of various NGOs. He has regularly been recommended by law directories such as The Legal 500 (EMEA's section on Belgium in the categories ‘Corporate and M&A’ and 'Real Estate') and Chambers and Partners (as an M&A and mining law expert for the Democratic Republic of Congo). Cases • Advising a Chinese listed company in a planned investment in a multi-mineral deposit in Gabon; • Advising a Chinese listed company on issues in relation to its investment in a copper and cobalt world class mining operation in the Democratic Republic of Congo; • Advising a UK listed fire protection company, as joint borrower with its Belgian subsidiary, in the negotiation and closing of a GBP 20 million multicurrency credit facility from a major City bank, involving a security package at the level of its UK, Dutch and Belgian group companies; • Assisting a Democratic Republic of Congo mining company, in cooperation with its main shareholder, one of the largest world copper and gold producer, a US listed mining company, in the implementation of a USD 2 billion plus mine construction and development, involving complex legal issues relating to mining, corporate matters, contracts, taxation, real estate, environment, labour, procurement, resettlement of villages, enforcement of anti-corruption policies, etc. • Representing a Canadian listed mining company in the acquisition of a gold mine in Mauritania for a total of USD 278 million; • Representing a Canadian listed mining company, in the closing, in association with a major US listed mining company, of a partnership agreement with a Democratic Republic of Congo state mining company for the development of the largest and highest-grade copper and cobalt deposit in the world, with mining rights on more than 1,500 km² in the Katanga; the matter involved complex issues of international contract law; • Representing a Dutch bank specialising in real estate development finance, as the lender, for the refinancing of two of the largest shopping centres in Belgium, worth more than EUR 100 million and EUR 265 million, respectively, and for the financing of the acquisition of real estate in view of the development at the Belgian coast of a residential complex worth more than EUR 80 million; as the lender: for financing (more than EUR 100 million) the acquisition and refurbishment by a Luxembourg-based real estate fund of three sets of office buildings in Brussels; as the lender: for financing (some EUR 40 million) the acquisition and redevelopment of a shopping centre combined with office space and accommodation in the historical centre of Ghent; • Representing a UK listed real estate company in the final closing agreement and breakdown following the termination of a letting and renovation guarantee period in respect of the prior sale of a landmark office tower situated in Brussels; in the acquisition of a landmark research centre with laboratories, research facilities and offices situated nearby the University of Louvain-la-Neuve; • Representing a Belgian operator of entertainment parks in corporate matters and assisting it to obtain and renew operational/environmental building permits for individual attractions and for the expansion of the parks; • Representing a leading UK-based casino operator in a number of litigation matters involving disputes concerning the interpretation of the legislation and regulations on operation of electronic gaming machines and the enforcement of gaming fraud; • Assisting a Japanese high-tech listed company in the acquisition of European multi- country manufacturers of high-level technology.
