Our lawyers and tax advisors understand the business and work closely with our clients to achieve the best result and get the deal done. A full service approach enables the team to advise on all aspects of the transaction, including the tax structuring of the acquisition or the proceeds from the sale respectively. With our in-house notaries we can work towards an efficient closing.

Due diligence

Combining strength with other practice groups within our full service firm the M&A team is able to provide expert and practical advice on all legal and tax aspects of an envisaged acquisition such as employment law, real estate, intellectual property and technology, public law, transport & energy and tax compliance. AKD's size enables us to quickly respond and provide our due diligence report to facilitate an efficient and time sensitive deal process, but we can also form smaller teams for specific tasks and topics.

 

Reviewing the business before a sale and in particular a private auction, will help identify key issues before it becomes a discussion with bidders and allow us to compile a vendor due diligence report or legal fact sheet which can be used in the sale's process.

 

Private auction

 A private auction may contribute to achieving the best price in a sale's process. Our teams have ample experience with these processes and can advise throughout the process from vendor due diligence to closing the deal. The size of the practice group allows it to deliver instantly in the intensive phase in which multiple bidders are being dealt with concurrently. The understanding of these dynamics enables our lawyers to also add value when advising you as a bidder in a private auction.
