The law of obligations constitutes the basis for commercial law. It can be found in many branches of law and is the determining factor in recommendations and procedures.

The law of obligations covers a large number of fields, including:
 

  • the pre-contractual stage (breaking off negotiations and formation of the contract; compensation);
  • the contractual stage (guarantees and non-compliance);
  • the post-contractual stage (breach of contract and compensation; wrongful acts).


Influence of international law
Our national law is being increasingly influenced by international law, and by directives in particular. Implementation of these directives gives rise to a number of legal points for discussion, such as the Product Liability Directive, the Purchase and Guarantees for Consumer Goods Directive (this has appreciable consequences for commercial practices), the Curbing Payment Arrears in Commercial Transactions Directive, and the Independent Commercial Agents Directive.
