Takeover of JMV by Hemmink
M.J. Hemmink Holding B.V. (Hemmink) acquired one hundred per cent of the shares in Jansen's Metaalwaren B.V. (JMV). AKD acted as advisors to Hemmink.
Hemmink operates a business that is involved in importing and
selling a wide range of electrical articles, including fastening
and security equipment, technical tapes and cable television
components and systems. Hemmink primarily serves electrical
engineering wholesalers, installers and housing associations in the
luxury house-building, non-residential and industrial sectors. The
Hemmink company has been a constant and reliable feature of the
electrical engineering and cable television market for almost sixty
years.
JMV is a leading manufacturer and supplier of electrical
installation equipment, with an emphasis on fastening and
professional grounding. JMV also makes and supplies plastic
products for fastening pipes.
Hemmink has been acting as the agent for JMV for the Dutch market
since 1989. This partnership has finally resulted in the parties
deciding to make the arrangement permanent by means of this
transaction.
The AKD team consisted of Carlos Pita Cao, Diane de Vries and Laura de Jong. Pieter Huys and Dorien van Straten worked on the due diligence
investigation and Huib Berendschot gave advice in relation to the
intellectual property aspects of the transaction. Notarial services
